Voryn Terms of Use

These Terms of Use govern your access to and use of the Voryn application, widgets, backend services, websites, and related functionality made available by Zestva, LLC (“Voryn,” “we,” “us,” or “our”).

If you download or use Voryn through Apple’s App Store, the Apple Standard End User License Agreement is incorporated into these Terms by reference. These Terms are intended to supplement the Apple Standard EULA for Voryn’s specific features. If there is a conflict between these Terms and the Apple Standard EULA, these Terms will control only to the extent of the conflict and only as to Voryn-specific matters, except where applicable law or Apple’s required terms provide otherwise.

By downloading, accessing, or using Voryn, you agree to these Terms. If you do not agree, do not use Voryn.

1. Eligibility and Acceptable Use

You may use Voryn only if you can form a binding contract with us and your use complies with applicable law, these Terms, the Apple Standard EULA, and any applicable third-party service terms connected to your use of the app.

You may not use Voryn to:

• violate any law or regulation;
• infringe, misappropriate, or violate any person’s rights;
• upload, record, transmit, or generate unlawful, abusive, defamatory, harassing, fraudulent, or harmful content;
• attempt to probe, disrupt, reverse engineer, or abuse the app, backend services, paywall, subscription logic, quota system, or any connected provider;
• circumvent plan restrictions, feature gating, usage accounting, or payment requirements;
• use the service for emergency, high-risk, or safety-critical decisions.

2. What Voryn Provides

Voryn is an AI-assisted voice journaling and note organization product. Depending on your device, subscription tier, and selected configuration, Voryn may provide features including:

• voice capture on iPhone;

• speech transcription;
• AI-generated summaries, structured outputs, and prompt-based processing;
• local storage of notes, transcripts, summaries, and related metadata;
• sync through Apple’s CloudKit private database;
• configuration backup and restore through local export and iCloud;
• data export in CSV, Markdown, PDF, or Voryn bundle formats;
• subscription management, paywalls, restore purchases, and usage quota tracking;
• use of built-in AI providers or user-configured third-party providers in supported flows.

Features may vary by operating system version, device capability, subscription tier, region, third-party availability, network availability, and future product changes.

3. No Professional, Medical, Mental Health, or Emergency Advice

Voryn and any AI-generated output are provided for personal productivity, journaling, reflection, and organizational assistance only.

Voryn does not provide medical, mental health, legal, financial, therapeutic, crisis-response, or other professional advice. Transcriptions, summaries, tags, classifications, recommendations, and any other AI output may be incomplete, misleading, or incorrect.

Do not rely on Voryn for diagnosis, treatment, crisis intervention, legal compliance, emergency response, or any decision where errors could cause harm. If you believe you are in danger or experiencing a mental health or medical emergency, contact local emergency services or a qualified professional immediately.

4. AI Output and Transcription Disclaimer

You acknowledge and agree that:

• speech recognition may mishear or omit words;
• AI models may hallucinate, summarize inaccurately, or generate biased or unsuitable content;
• outputs may not preserve tone, nuance, chronology, intent, or factual accuracy;
• different providers or models may produce different results from the same input;
• we do not guarantee that any transcription, summary, or AI response is accurate, complete, secure, or fit for a particular purpose.

You are solely responsible for reviewing and deciding how to use any output generated through Voryn.

5. Connectivity, Remote Processing, and Third-Party Services

Some Voryn features are local-only, but many core features depend on internet connectivity and third-party services.

Depending on the feature you use and your configuration, Voryn may transmit audio, text, prompts, model selections, usage metadata, subscription state, pseudonymous identifiers, and other technically necessary request data to:

• Apple services, including App Store, CloudKit, and speech-related platform services;
• our backend infrastructure and service providers;
• subscription and purchase infrastructure providers such as RevenueCat;
• third-party AI or infrastructure providers used for transcription, summarization, routing, storage, authentication, analytics, or delivery;
• custom providers that you configure under any BYOK or similar feature.

Your use of those third-party services may also be subject to their separate terms and privacy policies. We are not responsible for third-party service availability, outages, pricing, policy changes, or acts or omissions.

Voryn may also use crash diagnostics, performance monitoring, and product usage analytics to operate and improve the service. Product usage analytics may be disabled in Voryn Settings. Crash and performance diagnostics may remain enabled in release builds to help maintain reliability, security, and service quality.

6. No-Login Design, Device Identity, Sync, and Storage

Voryn currently uses a no-login architecture. To support subscriptions, quota synchronization, and cross-device continuity, Voryn may generate or store a persistent pseudonymous user identifier on your device and, where Apple services permit, synchronize that identifier through iCloud Keychain or related Apple account features.

Your journal data, recordings, summaries, prompts, and related content may be stored locally on your device and may also sync through Apple’s CloudKit private database or iCloud-based backup/export flows when enabled or available.

You acknowledge that:

• device loss, Apple account issues, iCloud configuration issues, sync conflicts, corrupted files, deleted backups, or third-party outages may affect access to your data;
• sync and backup are convenience features, not guaranteed archival or disaster-recovery services;
• you remain responsible for maintaining your own backups of any content that is important to you.

7. Sensitive Information

Because certain transcription and AI features require remote processing, you should not use Voryn to record or submit passwords, payment card numbers, private keys, authentication codes, government identifiers, highly regulated data, or other information that you do not want processed, exported, synced, or exposed if a device, account, export file, or provider is compromised.

Voryn export bundles may include audio files, transcripts, summaries, timestamps, and related metadata. Configuration backups may include custom provider credentials, API keys, host settings, prompts, and related configuration data. Once you export or back up such files, you are solely responsible for their storage, transmission, access control, and security.

8. BYOK and Custom Provider Terms

Certain plans may allow you to connect user-defined or “bring your own key” providers. If you use those features:

• you represent that you are authorized to use the third-party account, endpoint, and API credentials you provide;
• you are solely responsible for charges, compliance, data handling, and contractual obligations associated with those providers;
• we may route requests based on the configuration you supply, but we do not control the provider’s performance, retention, training, moderation, or legal terms;
• we may restrict, disable, or remove support for any custom provider flow at any time.

BYOK or custom provider support is a feature, not a promise of compatibility with every model, endpoint, or vendor.

9. Subscriptions, Trials, Billing, and V-Points

Voryn may offer free access, trial access, and paid subscriptions, including automatically renewing subscriptions sold through Apple in-app purchase flows.

By purchasing a subscription, you agree that:

• billing is handled by Apple, not directly by us, unless expressly stated otherwise;
• subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period;
• your Apple account may be charged for renewal within 24 hours before the end of the current period;
• free trials or introductory offers, if available, convert to paid subscriptions unless canceled before renewal;
• you may manage or cancel subscriptions through your Apple account settings;
• purchase restoration is subject to Apple’s and RevenueCat’s records and systems.

Voryn may also use usage allowances, quotas, credits, or “V-Points” for certain AI features. Unless we expressly state otherwise:

• V-Points are a limited license to use certain service capacity, not stored monetary value;
• V-Points have no cash value, are non-transferable, non-refundable except where required by law, and may not be redeemed for cash;
• included usage, feature availability, and quota behavior may differ by plan and may reset, expire, or be adjusted in accordance with the applicable offering displayed to you at purchase or in-product;
• if there is any inconsistency between an in-app display, the App Store product page, and technical/internal documentation, the live App Store and checkout terms presented at the time of purchase will control.

10. Ownership of Content and License to Operate the Service

As between you and us, and subject to applicable law, you retain ownership of the content you submit to Voryn, including your recordings, notes, prompts, transcripts, summaries, and exported material (“Your Content”).

You grant us and our service providers a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, format, translate, back up, and display Your Content solely as necessary to:

• operate, maintain, secure, and improve Voryn;
• provide transcription, summarization, synchronization, export, backup, restore, and support functions;
• detect abuse, enforce these Terms, and comply with law.

This license lasts only for so long as reasonably necessary to provide the service functions you request, subject to backup retention, legal obligations, technical constraints, and third-party system behavior.

11. Our Intellectual Property

Voryn, including its software, code, design, branding, service logic, user interface, documentation, and all related intellectual property rights, is owned by Zestva, LLC or its licensors and is protected by applicable law.

These Terms do not transfer any ownership rights to you. Except as allowed by applicable law or the Apple Standard EULA, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from Voryn.

Open-source components included in Voryn remain subject to their respective licenses.

12. Availability, Changes, and Third-Party Dependency Risk

We may add, remove, suspend, limit, or modify any feature, provider, model, workflow, price, quota rule, compatibility path, or service dependency at any time.

Voryn depends in part on third-party systems, including Apple platform services, CloudKit, RevenueCat, cloud infrastructure, and AI model providers. Service interruptions, degraded performance, model changes, output changes, quota mismatches, sync delays, failed restores, or temporary unavailability may occur. To the maximum extent permitted by law, we are not liable for losses caused by third-party failures or service dependency changes.

13. Suspension and Termination

We may suspend or terminate your access to all or part of Voryn if:

• you violate these Terms;
• your use creates security, legal, financial, or operational risk;
• required third-party services are unavailable or cease supporting the relevant functionality;
• we discontinue the service or a material part of it.

You may stop using Voryn at any time. Termination does not automatically delete exports, backups, synced data, or data already processed by third-party services.

14. Disclaimers

To the maximum extent permitted by law, Voryn is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, availability, quiet enjoyment, or that the service will be uninterrupted, error-free, secure, or lossless.

We do not warrant that:

• recordings, transcripts, summaries, or exports will be accurate or preserved;
• sync, backup, restore, or purchase restoration will always succeed;
• any provider, model, or endpoint will remain available;
• the service will meet your expectations or compliance needs.

15. Limitation of Liability

To the maximum extent permitted by law:

• we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, device access, or business opportunity;
• we will not be liable for damages arising from inaccurate AI output, failed transcriptions, sync issues, export/import issues, backup failures, subscription synchronization errors, quota disputes, or third-party provider conduct;
• our total aggregate liability for claims arising out of or relating to Voryn will not exceed the greater of (a) the amount you paid for Voryn in the twelve months before the event giving rise to the claim, or (b) USD $50.

Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Zestva, LLC and its affiliates, officers, employees, contractors, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your Content;
• your misuse of Voryn;
• your violation of these Terms;
• your violation of any law or third-party right;
• your use of any BYOK or custom provider integration.

17. Changes to These Terms

We may update these Terms from time to time. The updated version becomes effective when posted, unless a later date is stated. Your continued use of Voryn after the effective date of updated Terms constitutes acceptance of the revised Terms.
